These days, a SPAC, or “Special Purpose Acquisition Company”, is a constant feature in the stock exchange market news and there is a definite reason for it. The truth lies in the fact that SPACs provide a more simplified mechanism and needed flexibility for going public to private companies. To date, a number of more than successful SPACs have been formed (QuantumScape, DraftKings, Iridium, etc). In the year 2020, SPACs raised over $82 billion in capital. This is more funds per year than in the last 10 years together.

SPAC. What Is This?

A SPAC is a specially created and granted known status company whose sole purpose of existence is to merge with another private organization. Such structures have no business plan, no history of development, a variety of assets, technology, etc. There is only investor money on the balance sheet which is raised through the SPAC IPO. These funds, in the future, must either be used to acquire part of the non-public business or yielded to the investors. The management of the SPAC structure typically consists of well-known people/companies who have established a name for them already.

To accomplish the supposed merger, a SPAC has a two-year period at most (18-24 months). Such structures are often called a “blank-check” because it is never known in advance with which company the merger will take place.

Why use SPACs? The thing is that the process of going public via IPO is quite complicated and costly, and direct listing still does not allow most firms to raise new capital for development. A graceful way out of the situation is SPAC structures, which independently pass the IPO process, and then “wait for their time” to find a suitable candidate for a merger who wants to go public but does not have the ability or desire to make an IPO itself. The stock chart of the special acquisition companies prior to the announcement of a possible merger deal is usually a flat, horizontal line.

How SPACs Function

So, let’s briefly describe the basic steps of setting up a SPAC:

• In the first stage, one or more sponsors express a desire to create a SPAC. More often than not, these are well-known personalities/companies who have already made a name for themselves. This is a crucial point for investors to confide in the sponsors, because in fact, by participating in a SPAC investors are buying a “pig in a poke”.

• Then, a SPAC independently passes the entire IPO procedure according to the regulations of the SEC (US Securities and Exchange Commission). All costs, which will not be returned, the sponsors the special acquisition company take on themselves.

• In the SPAC IPO, already investors participate. From that moment on, the company has money on its balance sheet, which is placed in an escrow account, after that it can only be used to acquire a new business or be returned to investors. The latter themselves have shares (most often at $10 a share), and usually warrants — papers that give the right to additional purchase of SPAC shares at a predetermined price.

• Now, it is time to wait and find an organization to merge with. The SPAC structure most often has 18-24 months to complete the merger. If the deal does not go through, the investors get their money back, and the SPAC ceases to exist. The sponsors suffer losses (IPO costs), and they also lose investor trust.

• If a potential option is found, then the merger procedure begins. A SPAC is obliged to spend at least 80% of the funding raised in the course of the IPO. The company, which intends to go public, conducts an additional issue, which is purchased by the SPAC-structure (a part goes to the sponsors themselves), after which the shares of the issuer are transformed into the SPAC securities with a ratio of 1:1. Then, the SPAC just changes the ticker and that’s it. The process of becoming public is complete.

• From that point on, the SPAC-company chart no longer looks like a horizontal line (in reality, it happens earlier — when the SPAC only declares the intention to conduct a deal). The usual bidding starts, where the market forms the price, which may differ significantly from the initial $10, either upward or downward. It all depends on the quality of the “absorbed-to-be” business. There is usually no lockup period. SPAC investors are free to sell their shares.

2018 is coming to an end, and this gives us the perfect occasion to evaluate the year. Read what our founders Sven Hecker and Christian Hemmrich have to say about the last 12 months and the future of �ԹϹ���!

How would you sum up 2018?

Sven Hecker: 2018 was definitely the most intensive year that we had so far. In the last 12 months, we succeeded over many challenges, developed our system greatly and had the biggest employee expansion in the history of the company. We moved to a bigger office, introduced literally dozens of new locations and added some completely new products to our portfolio. Now we have a new website that gives much more information about our products, a customer account that matches higher UX/UI standards plus a Spanish website and customer service. It’s exhausting just to list all the novelties that were introduced.

It seems indeed that �ԹϹ��� is a completely different company than it was one year ago.

Christian Hemmrich: Well, it was always our intention to steer things to the direction they are heading now. �ԹϹ��� was dreamed in a way that it will serve many purposes that lead to the exact same point, which is easier internationalization. I’m very glad that we could make this jump little by little, and I’m also proud that we’re not only a company digitizing letters, but also a solution for customers who want to expand their business globally.

How did the users react to all the novelties? Did they find it difficult to accommodate?

Hemmrich: The customers’ reaction to changes is always a bit incalculable, and there were moments when we received a lot of questions. But in the meantime, our Customer Relations team grew as well, so we’re simply more prepared. Also, that and the fact that the products are logically linked made our job easy in that respect. For example, our new �ԹϹ���Number product with local phone numbers in almost 80 countries was easily welcome by our customers.

What were the nicest memories related to �ԹϹ��� in 2018 for you personally?

Hecker: When we went to the RS Expo in Orlando in the US, that was very special. We were the only German company and we decided to make ourselves stand out with “traditional” attire. We looked quite funny! But it made the effect, because everybody came there and asked what we do. We got a lot of partners in the US thanks to that.

Hemmrich: I enjoy whenever there is a celebration of some kind among us in the office. We regularly do some surprises for those having a birthday and try to make some dates really special: our stylish Halloween lunch or our last great Christmas dinner, for example, were both great.

How do you see the company one year from now?

Hemmrich: We would like to continue the path that we started in the last months, with further developments to our products and our website. We’re always working on adding new tweaks, features, and languages to the existing setup, so instead of looking in a completely new direction, we will polish what we already have.

Hecker: Hopefully, there will be even more employees to come so we can achieve our goals quicker and more efficiently. We cannot tell precisely what we would like to introduce, but yes, we will basically do what Christian described: adding more locations and more functions to our existing ones. We also want to go to the RS Expo once more and look for other opportunities where we can introduce our product and service in front of the general public.

How will you spend the rest of 2018?

Hecker: The holiday season is here so our staff goes into a kind of a winter sleep, too. We’re an international team with families and friends across many countries, so we will all use this time to spend time with them. We will do due communication on our different channels for the festivities, so we hope our users will share the holiday atmosphere with us.

Hemmrich: And we will try to survive the fireworks chaos in Berlin. It’s always absolutely crazy what happens here on New Year’s Eve.

The trend of coworking is steadily on the rise, as it is proven by the Coworking Europe Conference that has been organized for the 9th time in a row. We were at the Amsterdam event to gain insights into the scene and to see how �ԹϹ��� contributes to it. Read what we experienced here!

What did we see?

First and foremost: that coworking is huge. Thousands of coworking spaces exist around the world in 2018, and with the mobilization of workspaces, this number will hardly decrease. No wonder that Amsterdam was chosen as the location, as the capital of the Netherlands is also among the capitals of coworking, with the venue itself being the pinnacle of it all. It is a bright example of how well different visions and attitudes can fit under the same roof in a complementary, and not in an exclusive manner. Hundreds of participants from all over the world (America, Asia, Africa, and more) were here to see the most urgent questions of the scene that were discussed in various panel talks and presentations.

What did we learn?

The most eye-opening thing was how expansive and interconnected coworking is with various fields that at first sight don’t necessarily have much to do with it. Apart from bona fide coworking space operators, we met companies focusing on lock and sensor technologies, property access systems, cloud-managed printing, and many, many more. It was good to see how coworking affects and helps other industry branches, even more, if we consider that most of the people in coworking are active in highly innovative and groundbreaking fields. Apart from the participants, the program schedule itself was also inspiring and exhaustive, with blockchain technology, the Israeli co-working boom, or gentrification being on the agenda.

What did we do?

�ԹϹ��� was among the Emerald sponsors of the event, and our CEO Sven Hecker and Head of Marketing Stefan Wölcken took the chance to talk about how our virtual office concept, our mail digitizing solution, or our white label software could fit into coworking. We again saw that there is a need for postal mail management: even though most of the work that is done in coworking areas is predominantly digital, there are still areas in the workers’ and coworking space operators’ life (civic procedures, official registrations, etc.) that cannot be shortcut online. Besides our message, we shared Haribo gummy bears to wittily refer to our German origin. Not only did we gather a lot of interest in our white label solution and our network of worldwide locations, but we also got some projects on their way, so that in the near future a lot of coworking spaces will be able to use our solution without leaving their well-known management tools behind. As Coworking Europe is a conference fuelled by the input of its participants, our Head of Marketing co-hosted a session on the right coworking management software and ways to automate the front desk and thus increase revenue.
